Board Member Position Description

Background: The Board of Directors formulates & determines AAWA policy, oversees the management of AAWA affairs including control of AAWA property, responsibility for AAWA finances, and other duties, as described in the AAWA Bylaws.

  1. Qualifications

Each candidate seeking election to a Board Director position shall be a dues-paying member in good standing of All Aboard Washington.

  1. Responsibilities
    1. Members of the Board of Directors shall:
      1. Understand the purpose of All Aboard Washington as contained in AAWA Bylaws, have general knowledge of current All Aboard Washington activities; and assist in ensuring compliance with the Articles of Incorporation, Bylaws, and tax-exempt status of All Aboard Washington;
      2. Set organizational goals, policy, and oversee administration of competent staff; review, adopt and monitor annual & long-range plans & budgets; review regular financial reports; ensure timely completion of annual audits and filing of required tax returns;
      3. Provide for legal counsel to ensure compliance with applicable local, state and federal laws;
      4. Establish & maintain a personnel program for the acquisition, management, retention, dismissal, and compensation of staff employed by AAWA..
      5. Ensure financial resources are available to conduct All Aboard Washington’s activities. 
      6. Provide information for regular meetings of the Board of Directors and its committees with reports on and discussion of organizational activities.
      7. Provide prudent and sound investment and management of AAWA funds and assets not expended directly for charitable purposes, to yield a reasonable return without undue risk.
      8. Protect All Aboard Washington’s property, including  provisions, as may be needed, for safekeeping, replacement and divestment procedures that will benefit the organization.
  2. Commitment
    1. Board Directors are expected to:
      1. Participate in regular Board meetings., Chair or participate in committees, task forces or other groupings within All Aboard Washington.
      2. Participate in and assist with All Aboard Washington's resource and financial development efforts & initiatives.
      3. Recruit active members to the organization
